1. Scope and Purpose

These Terms & Conditions govern participation in the referral program operated by WebDesignOptimal (WDO). The program enables independent collaborators to refer potential clients in exchange for a commission under the conditions set out below.

2. Eligibility and Participation

Participation in the referral program is open to individuals who register with a valid email address and mobile number and receive a personal referral code from WDO. Participation does not require exclusivity and may be terminated at any time in accordance with these Terms.

3. Referral Definition and Validation

A referral shall be deemed valid only if all of the following conditions are met:

a) The collaborator submits the referred client’s full name to WDO via an approved communication channel (e.g. WhatsApp).
b) The referred client enters the collaborator’s personal referral code during the booking or confirmation process.
c) The referred client enters into a binding agreement with WDO.

WDO reserves the right to determine the validity of referrals in cases of ambiguity or dispute.

4. Commission Structure

The following commission rates apply:

15% commission for referrals where the collaborator establishes initial contact and introduces the client to WDO.
20% commission where the collaborator has pre-briefed the client and the client has explicitly expressed prior interest in a collaboration with WDO.

The applicable commission rate is determined at WDO’s sole discretion based on the level of client qualification at the time of referral.

5. Commission Entitlement and Payment

Commission entitlement arises only after:

a) The referred project has been successfully completed, and
b) Full payment has been received from the client.

No commission shall be payable for cancelled, incomplete, or unpaid projects. Commission payments shall be made within a reasonable timeframe after completion, using a mutually agreed payment method.

6. Data Protection and Confidentiality

Personal data provided in the context of the referral program shall be processed exclusively for referral tracking and project-related communication, in compliance with the EU General Data Protection Regulation (GDPR / DSGVO). Only data strictly necessary for these purposes shall be collected and processed.

7. Independent Relationship

Participation in the referral program does not establish an employment relationship, agency, partnership, or joint venture between the collaborator and WDO. Collaborators act independently and bear sole responsibility for their own legal and tax obligations.

8. Modification and Termination

WDO reserves the right to modify, suspend, or discontinue the referral program or these Terms & Conditions at any time. Amendments shall not affect commission entitlements already earned in accordance with the applicable Terms.

9. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict-of-law provisions.
